Context

Finances

Received financial statements as of Dec. 31, 2013

Treasurer Mary McCarthy reported that as of Dec. 31, 2013, NASW’s total asset position was $16.4 million. Total expenses as of Dec. 31, 2013, were $7.7 million, $284,000 below budget.

Accepted the consolidated financial audit and the pension plan audits for the association

Treasurer Mary McCarthy updated the board on the activities of the Audit Committee. Prior to the board meeting, the committee met at the national office with auditors. The committee reviewed the consolidated audit covering all affiliates of NASW and the audits for the NASW pension plans.

Approved the budget parameters

NASW budget parameters submitted for fiscal year 2014-15 were approved.

Approved Tax Form 990

Tax Form 990 for the fiscal year that ended June 30, 2013, was approved.

Governance

Approved the consent agenda

The board approved the following items on the consent agenda: (1) Minutes of the September 2013 board of directors meeting, (2) 2014 Delegate Assembly Preliminary Agenda, and (3) FY 2012-13 NASW Legal Defense Fund Annual Report.

Accepted the Bylaws Committee proposal

The board accepted the Bylaws Committee report and recommendation to not approve the proposed bylaws amendment submitted by the NASW Guam Chapter board of directors. However, the board approved implementing a two-year pilot program effective Feb. 15, 2014, to offer a process for an individual waiver of eligibility requirements, based on geographic locations for individuals who want to seek regular NASW membership but do not currently meet the education requirements stated in the NASW bylaws. This process will be used to review cases individually, and data will be collected during the pilot to determine whether a full bylaws amendment is needed.
