Context

Finance

Received the financial reports for the period ending May 31, 2010.

As of May 31, NASW’s total asset position was $14.4 million. Overall, assets increased by $123,000 compared to the same time last year. The increase was attributed to the increased value of investments by $574,000 compared to May 31, 2009. For the 11 months ending May 31, total revenue declined by $1.1 million versus 2009 to $15.8 million. Dues revenue for the 11-month period was down $33,000 versus 2009 to $9.2 million.

Governance

Accepted the proposed amendment to Article III (Membership) of the NASW Bylaws.

Language identifying the six specific reduced-dues categories was removed from the bylaws and the Board was given the authority to set reduced-dues categories for members. The Board was also given the authority to establish reasons for the termination of membership and for the procedures to take such action.

Under the adopted amendment, a member whose dues are in arrears shall have one month rather than three to bring the dues current. A member whose dues are in arrears may not exercise the privileges of membership.

Accepted the proposed amendment to Article XV (Amendments to Bylaws).

The Board was given the authority to determine by a two-thirds vote, the need for an emergency bylaws amendment. This requires a two-step process. The first is for a two-thirds Board vote to determine that a situation requires an emergency amendment to the Bylaws and second, 30 days prior notice to members before the final Board vote on the emergency amendment.

Accepted the proposed amendment to Article XVI (Dues and Other Income).

The language in Article XVI was changed to comport with the amendments to Article III. The provision in Section G was deleted that permitted an adjustment to the base annual dues rate based on changes in the cost of living.
